Terms of Service

Agreement to these Terms

These Terms of Service (“Terms”) govern your access to and use of the BIEB website, mobile applications, and related services (collectively, the “Services”). By creating an account, using the Services, or submitting an application, you agree to be bound by these Terms and the policies incorporated by reference. If you do not agree, you may not use the Services.

If you use the Services on behalf of a company, brand, agency, or other organization, you represent and warrant that you have authority to bind that organization to these Terms.

Scope of the Services

BIEB provides a technology platform that helps brands, creators, managers, agencies, and marketing teams identify, evaluate, engage, manage, pay, and measure professional brand-creator partnerships. The Services may include creator discovery, campaign creation and management, content submission and review tools, communication tools, payment processing facilitation, attribution tracking, reporting, and related features.

BIEB may also support optional features such as live streaming, product showcasing, style boxes, giveaways, product drops, and commission-based campaigns. Availability of specific features depends on the user’s role, the campaign type, and the technical configuration at the time.

Additional policies and agreements

The following policies and agreements are incorporated by reference and form part of these Terms:

Campaign-specific terms, enterprise agreements, or other separately executed agreements may apply in addition to these Terms. To the extent a separately executed agreement conflicts with these Terms on a campaign-specific subject, the campaign-specific or enterprise agreement controls. Otherwise, these Terms control.

Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements. The Services are not directed to children under 13, and we do not knowingly collect information from children under 13. Some features may require additional eligibility criteria or verification.

Accounts and security

To use most features, you must create an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use or security breach. We may suspend or terminate your account if we believe you have violated these Terms or if your conduct creates legal risk, security risk, or harm to other users.

User roles and authority

BIEB supports different user roles, including visitors, early-access applicants, brand users, brand administrators, creator users, talent representatives, agencies, and platform administrators. A brand user or administrator represents that they have authority to bind their organization to campaign commitments made through the platform. BIEB does not independently verify representation authority.

Brand accounts and responsibilities

Brand users represent and warrant that:

  • They are authorized to bind the brand and enter campaign commitments.
  • Campaign information, product descriptions, claims, and instructions are accurate and lawful.
  • Products are genuine, safe, not recalled, and legally saleable or shippable.
  • They own or have permission to use brand materials, trademarks, and product imagery provided to creators.
  • Campaign instructions comply with applicable law, including advertising, disclosure, and consumer-protection laws.
  • They have sufficient funds to fulfill compensation commitments.

Creator accounts and responsibilities

Creator users represent and warrant that:

  • Profile information, audience information, and content samples are accurate and not misleading.
  • They own or have licensed all rights necessary to create and license campaign content.
  • They have authority to enter campaign agreements and grant the rights described in accepted campaign terms.
  • They will make clear and conspicuous sponsorship and material-connection disclosures.
  • They will not use fake engagement, undisclosed incentives, or deceptive practices.
  • They will obtain all necessary releases and clearances for people, music, locations, and third-party materials.

Representatives and agencies

A creator or brand may permit a manager, agent, agency, or other representative to access or act on their BIEB account. The represented user remains responsible for the representative’s actions. If a representative accepts a campaign offer, submits content, or provides payment instructions, the creator or brand represented is bound by those actions to the extent the representative had authority.

Creator profiles and public information

Creator profiles may be visible to brands and, depending on settings, to other users or the public. You should not include sensitive personal information in public portions of your profile. BIEB may use public profile information to operate discovery, search, and matching features.

Campaigns, opportunities, and applications

Brands may publish campaign opportunities or invite specific creators. Creators may apply to or express interest in opportunities. An invitation, application, or expression of interest does not create a binding campaign agreement. BIEB reviews creator applications to help maintain quality and brand safety. Approval is discretionary and may be revoked.

Offers and campaign formation

A binding brand-creator campaign agreement is formed only when (1) the brand and creator have both accepted the same campaign terms through the platform or a separately executed agreement, and (2) any required deposit, payment authorization, or other funding condition is satisfied. Until both conditions are met, communications and negotiations are preliminary.

Campaign-specific terms

Each campaign may specify terms such as campaign objective, products, compensation, deliverables, deadlines, posting requirements, usage rights, paid-media rights, exclusivity, territory, brand-safety requirements, product shipment, disclosure requirements, approval requirements, cancellation terms, payment milestones, and attribution rules. These campaign-specific terms control the campaign relationship. Campaign terms must comply with applicable law.

Compensation, fees, and taxes

Compensation for a campaign is set out in the campaign terms. Compensation may include gifted products, flat fees, commissions, performance incentives, or a combination. BIEB charges a platform fee on certain transactions, currently up to 15% of the transaction amount unless a different rate is stated in the campaign terms or a separate enterprise agreement. Payment-processing fees charged by Stripe or another processor may also apply. Users are responsible for all taxes arising from their use of the Services and from campaign compensation.

Payments and payouts

BIEB uses Stripe to process brand charges and creator payouts. BIEB is not a bank, escrow agent, or payment institution. BIEB may hold funds temporarily only as necessary to complete a transaction, deduct applicable fees, and remit the remainder to the creator. Creator payouts may require admin review and are subject to Stripe settlement timing and any holds for fraud, chargebacks, disputes, or identity verification. Brand payment obligations are to the creator, and creator payout obligations are as set forth in the campaign terms. BIEB does not guarantee that any brand will pay or that any creator will receive a specific amount.

Product shipment and reimbursement

Campaign terms specify whether product shipment is required and whether the brand or BIEB arranges shipping. Products shipped to creators may be gifts, loans, or compensation, as stated in the campaign terms. Risk of loss or damage during shipment follows the carrier’s terms. Creators are responsible for providing an accurate shipping address. If a creator is required to purchase a product for reimbursement, reimbursement terms must be stated in the campaign terms. Brands represent that products are safe, lawful, and not recalled.

Creator content and brand materials

Creators produce original content for campaigns. Brands provide briefs, products, and brand materials. Each party is responsible for ensuring it has the rights to provide its respective materials and that those materials do not infringe third-party rights or violate law. Creators are not responsible for false or unsubstantiated product claims originating from the brand.

Content ownership and licenses

Creators retain ownership of content they create, subject to the license granted to the brand in accepted campaign terms. The brand receives only the license explicitly stated in those campaign terms, which may include organic posting rights for a defined period, territory, and platform. Paid-media, whitelisting, raw-footage, sublicensing, or extended usage rights require explicit permission in the campaign terms or a separate agreement.

BIEB receives a limited, non-exclusive license to use creator and brand content solely to operate, host, display, transmit, moderate, and administer the Services and campaigns, to comply with legal obligations, and for internal analytics. This license does not grant BIEB unrestricted rights to use content for unrelated marketing without separate permission.

Name, image, likeness, and publicity

A brand may use a creator’s name, handle, likeness, voice, biography, and approved content only to the extent permitted in the campaign terms or a separate release. Creators warrant they have the right to grant these publicity rights to the extent required by the campaign. BIEB may use a creator’s public profile information and approved content for platform operation and limited promotional purposes only with permission or as permitted by the campaign terms.

Endorsement disclosures and truthful advertising

All campaigns must comply with the FTC Endorsement Guides and other applicable advertising laws. Creators must clearly and conspicuously disclose any material connection to a brand, including payment, gifted products, commissions, employment, or ownership relationships. Brands must not instruct creators to make false or unsubstantiated claims or to hide material connections. Both brands and creators are responsible for ensuring that their statements are truthful and substantiated.

Affiliate links, codes, and attribution

Where campaigns use unique links, discount codes, or other attribution tools, BIEB tracks clicks, conversions, returns, and commissions as described in the campaign terms. Attribution is not perfect: customers may use multiple devices, block tracking, share codes, or return products. BIEB will apply the attribution model and window stated in the campaign terms. Commission calculations are subject to correction for returns, cancellations, fraud, and data adjustments.

Reviews and professional history

If BIEB enables reviews, ratings, or public professional history, those features are intended to reflect verified campaign experience. Users may not submit fake reviews, manipulate ratings, or offer incentives for positive reviews. BIEB may remove or correct reviews that violate these Terms or applicable law. Honest negative reviews may not be prohibited or penalized.

User conduct

You agree to use the Services lawfully, honestly, and respectfully. You may not harass, defraud, impersonate, discriminate, or interfere with the Services or other users. You may not upload malware, scrape data, reverse engineer the Services where prohibited, or attempt to gain unauthorized access.

Prohibited uses

You may not use the Services to:

  • Sell or promote illegal, counterfeit, recalled, or unsafe products.
  • Post hate speech, threats, harassment, discrimination, or sexually exploitative content.
  • Use fake engagement, bots, or manipulated metrics.
  • Circumvent platform fees or move accepted campaign transactions off-platform to avoid fees.
  • Infringe intellectual-property or publicity rights.
  • Misuse another user’s data for unrelated solicitation.
  • Interfere with the security or integrity of the Services.

User-generated content and moderation

Users may upload content such as profiles, images, videos, live streams, comments, and campaign deliverables. BIEB does not guarantee continuous monitoring but may review, remove, or restrict content that violates these Terms or applicable law. We may preserve content to comply with legal obligations or investigate violations. Users may report content through available reporting tools. BIEB may suspend or terminate accounts for repeated or serious violations.

Confidentiality

Users may receive confidential or nonpublic information through campaigns, such as unreleased products, briefs, budgets, and business strategy. You agree to keep such information confidential and not disclose it except as required by law or with the disclosing party’s permission. Confidentiality obligations do not apply to information that is public, already known, independently developed, or lawfully obtained from another source.

Privacy and data

Your use of the Services is also governed by our Privacy Policy. Brands and representatives must ensure they have lawful authority to share any customer, creator, or third-party data they provide to BIEB. Campaign participants are responsible for using each other’s data only as necessary for the campaign and in compliance with applicable law.

Third-party services

The Services integrate with or link to third-party services, including Stripe, Firebase/Google Cloud, social platforms, and shipping or commerce providers. Those third parties have their own terms and privacy policies. BIEB does not control third-party services and is not responsible for their availability, errors, or changes. You are responsible for complying with the rules of any connected platform.

Beta and early-access features

Some features are offered on a pre-release, beta, or early-access basis. These features may be incomplete, contain bugs, or change without notice. They are provided “as is” and may be suspended or discontinued at any time. Marketing concept previews and early-access applications do not create a binding commitment to provide any specific feature.

Feedback

If you provide feedback or suggestions about the Services, you grant BIEB a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate that feedback without payment or attribution. Feedback does not include campaign content or confidential business information shared under separate terms.

Service availability and changes

BIEB may modify, suspend, or discontinue any feature, temporarily or permanently, with or without notice. We are not liable for any modification, suspension, or discontinuance. We do not guarantee uninterrupted access or a specific uptime unless we enter a separate enterprise service-level agreement.

Suspension and termination

You may stop using the Services at any time. To request account deletion, contact privacy@biebapp.com. BIEB may suspend or terminate your account for violations of these Terms, legal risk, fraud, security issues, or prolonged inactivity. Upon termination, your right to use the Services ends, but provisions that by their nature should survive termination will survive, including payment obligations, content licenses for completed campaigns, indemnification, and dispute-resolution provisions.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. BIEB DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CAMPAIGN WILL ACHIEVE ANY PARTICULAR RESULT, SALES, ENGAGEMENT, OR ATTRIBUTION OUTCOME.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIEB AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES OR ANY CAMPAIGN, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BIEB’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID TO BIEB FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. THIS LIMIT DOES NOT APPLY TO FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR CLAIMS THAT CANNOT BE LIMITED UNDER APPLICABLE LAW. This limitation does not affect undisputed earned creator compensation that has already been released to the creator.

Indemnification

You agree to indemnify, defend, and hold harmless BIEB and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your content, your campaign terms, your breach of these Terms, or your violation of any law or third-party right. BIEB reserves the right to assume the exclusive defense of any matter subject to indemnification, and you agree to cooperate.

Dispute resolution and governing law

These Terms and any dispute arising out of or relating to them or the Services will be governed by the laws of the State of New York, without regard to its conflict-of-laws rules.

Before filing a formal claim, you and BIEB agree to attempt to resolve disputes informally by contacting the other party in writing and negotiating in good faith for at least thirty (30) days.

Except for claims that may be brought in small-claims court, any dispute that is not resolved informally will be resolved exclusively in the state or federal courts located in New York County, New York. You and BIEB consent to the personal jurisdiction of those courts. Nothing in this section prevents either party from seeking injunctive or other equitable relief.

These dispute provisions do not waive any nonwaivable consumer rights under the law of your jurisdiction.

Changes to these Terms

BIEB may modify these Terms from time to time. If we make material changes, we will post the updated Terms and revise the effective date. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance. Changes to arbitration, fee, or liability provisions, if later added, will require explicit reacceptance where required by law.

General legal terms

These Terms, together with the policies incorporated by reference and any separately executed campaign or enterprise agreement, constitute the entire agreement between you and BIEB regarding the Services. If any provision is held invalid, the remaining provisions remain in full effect. BIEB’s failure to enforce a provision does not waive its right to enforce it later. You may not assign these Terms without BIEB’s prior written consent; BIEB may assign them in connection with a merger, acquisition, or sale. All communications will be electronic.
